Unless otherwise stated, it is the responsibility of the customer to make sure that all provisions listed are communicated to both shipper and receiver, or anyone else involved in the transportation movement.
Fuel Surcharge
Rates quoted are subject to fuel surcharge. Fuel surcharge will be applied based on the equipment program used, and is typically based on the Department of Energy National U.S. average Diesel Fuel Price Index. Fuel surcharge will be invoiced as a separate line item.
Equipment Availability
UPDS does not guarantee equipment availability. In the unlikely event that equipment is not available, UPDS could provide lane management by moving freight over the road with Union Pacific Carrier Services (UPCS). The incremental charge of moving the freight over the road would be the responsibility of the customer.UPDS will not be responsible for extra charges associated with moving freight due to equipment shortages.
Peak Season
Rates may be subject to peak season surcharges when applicable.
Loading/Unloading - Driver Detention
Rates generally include one hour free time at origin/destination for loading/unloading. This applies when tractor and driver must stay until loading or unloading is completed. The free time will commence at the appointment time or at time of arrival, whichever is later. If there is no appointment time, free time will commence at the time of arrival. Driver detention after the one free hour will be billed to the customer. Rates per hour vary by transportation supplier.
Loading/Unloading - Equipment Detention
Pickups at Customer
Customer will generally receive two (2) free days at origin and destination. Equipment charges will be incurred after free time expires. Exact charges vary by equipment type.
Ramp Storage
Customer will generally have 48 hours free time at the rail ramp before charges are assessed for storing containers at the ramp. Exact charges vary by intermodal rail terminal.

Miscellaneous
The party paying the freight is responsible for any storage and/or detention charges that would accrue at origin and/or destination ramps due to delays by the shipper/receiver for loading/unloading. Unless otherwise stated, standard free time would apply.
Unless specified rates do not include, driver unload, driver assist , pallet return/exchange, driver count, or lumper fees. If these services are requested they will be billed to the customer.
- All costs accrued due to diversions or reconsignments will be billed to the customer.
- The cost to clean dunnage will be billed to the customer
- Rates are subject to the participating Railroad carrier(s) Exempt Circular Rules Provisions.
- Rates are subject to equipment availability.
- Rates may fluctuate if equipment substitution is necessary to meet customer pick-up requirements. UPDS reserves the right to pass this cost onto the party paying the freight.
- Transit times are estimates only, and not guaranteed.
- Unless otherwise stated, rates do not include any blocking and bracing charges. Blocking and bracing must comply with the applicable Association of American Railroads publication.
- Door to Door rates do not include any accessorial charges that could potentially be incurred during shipment. Accessorial charges will be charged back to the customer.
- Rates are contingent upon credit approval. Credit standards set forth by Union Pacific Distribution Services and/or Union Pacific Railroad Credit Departments.
- Rates do not include any broker fees, duties, or tariffs at the border.
- Rates include bridge and transfer fees between Port Laredo and Nuevo Laredo, unless otherwise stated.
Lading Requirements
- All loading, bracing and blocking must comply with the applicable Association of American Railroad's pamphlet or general information publication or modifications approved by Union Pacific Quality Operations prior to shipment.
- Intermodal Equipment is designed for uniform weight distribution. Lading weight in equipment must be evenly distributed both crosswise and lengthwise. It must be equally distributed between the rear tires and the king pin.
- Lading is to be secured in such a manner to prevent it from shifting either crosswise or lengthwise during transport where it would affect safe weight and distribution or position in the equipment.
- The trailer/container must be loaded not to exceed legal axle or gross vehicle weight limits. The shipper is responsible for all overweight fines.
Hazardous Materials
When hazardous materials, hazardous waste, or dangerous material is involved, the loading, bracing, and blocking must comply with the Bureau of Explosive's Pamphlet 6C and any other Federal Agency comply with the US Department of Transportation hazardous materials regulations. Any modifications must be approved by Union Pacific Quality Operations or Chemical Transportation Safety prior to shipment.
- All hazardous materials shipments are subject to surcharge. Total cost dependent on participating transportation supplier.
Terms
Rate offerings are effective for one(1) month from the date quoted. After such time, the rate will be reviewed and could be subject to a price adjustment.
Union Pacific Distribution Services reserves the right to increase rates with a fifteen (15) day advanced notification.
Payment
Payment terms are fifteen (15) days from the date of invoice. Delinquent payments after thirty (30) days will be charged interest at an interest rate of 1.5% per month.
